1. Introduction

These Terms & Conditions ("Terms") govern your use of the Webnaut website and services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

Webnaut provides digital and growth services, including but not limited to:

  • AI-powered growth systems
  • Website design and development
  • Automation systems (including WhatsApp and chatbot integrations)
  • Lead qualification systems
  • Booking automation systems
  • Consulting and growth audits

All specific deliverables, timelines, and scopes of work will be outlined in individual client agreements.

3. Client Responsibilities

To ensure successful project delivery, clients agree to:

  • Provide accurate and up-to-date information.
  • Provide required assets (branding, access credentials, content, etc.) on time.
  • Review and approve deliverables promptly.
  • Use delivered systems legally, ethically, and in compliance with all applicable laws (e.g., spam laws for messaging).

Note: Delays caused by the client in providing necessary assets or feedback may impact project timelines.

4. Payments & Billing

  • Projects may require advance deposits before work begins, as specified in the client agreement.
  • Ongoing or retainer services may be billed monthly.
  • Payments are due upon receipt or as explicitly outlined in the client agreement or invoice.
  • Late payments may result in paused services.
  • Webnaut reserves the right to suspend or terminate services in the case of non-payment.

5. Intellectual Property

Unless otherwise agreed in writing:

  • Final, fully paid custom deliverables become the property of the client.
  • Webnaut retains the right to showcase completed work in its portfolio, case studies, and marketing materials.
  • Proprietary frameworks, methodologies, code libraries, and internal systems used to deliver the services remain the exclusive intellectual property of Webnaut.

6. Confidentiality

Both Webnaut and the client agree to keep confidential any proprietary information, business strategies, and customer data shared during the course of the project. We will not share your private business data with third parties unless required to deliver our services or mandated by law.

7. No Performance Guarantee

Webnaut provides high-quality systems designed to improve lead conversion and business performance. However, we do not guarantee:

  • Specific revenue outcomes or financial returns.
  • An exact number of leads or bookings.
  • Specific business growth percentages.
  • Fixed conversion rates.

Results depend on market conditions, offer quality, pricing, the client's sales process, and external factors beyond our control.

8. Limitation of Liability

To the maximum extent permitted by law, Webnaut shall not be liable for:

  • Indirect, incidental, or consequential damages.
  • Loss of profits, revenue, or business opportunities.
  • Data loss or security breaches caused by third-party platforms.
  • Service interruptions from external hosting or software providers.

In any event, Webnaut's total cumulative liability to the client shall not exceed the total amount paid to Webnaut for the specific service in question over the preceding three (3) months.

9. Indemnification

The client agrees to indemnify and hold Webnaut harmless from any claims, damages, or legal fees arising from the client's use of our services, including but not limited to claims that the assets, text, or images provided by the client infringe on a third party's intellectual property rights.

10. Third-Party Services

We regularly integrate third-party tools such as:

  • Stripe (Payment processing)
  • WhatsApp / Meta platforms
  • Hosting providers
  • Analytics platforms

Webnaut is not responsible for outages, policy changes, pricing updates, or account suspensions caused by these third-party providers.

11. Termination

  • Either party may terminate services with written notice, subject to the terms of the individual client agreement.
  • Any outstanding payments for work already completed remain due upon termination.
  • Refunds, if applicable, are strictly subject to Webnaut's Refund Policy as outlined in the client agreement.

12. Changes to These Terms

Webnaut reserves the right to update or modify these Terms at any time. We will notify active clients of any significant changes. Continued use of our website or services after changes are posted constitutes your acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, such invalidity will not render the rest of these Terms unenforceable.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the courts located in India (e.g., Pune, Maharashtra).
